We are Nezone ("Company," "we," "us," "our"), a proprietary company registered in India at C2/36, Forth Floor, New Ashok Nagar, New Delhi 110096. We operate the website naizone.in (the "Site"), the mobile application Naizone (the "App"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services"). These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Nezone, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

The Services are intended for users who are at least 13 years of age. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services. If you are a minor, you must have your parent or guardian read and agree to these Legal Terms prior to you using the Services.

Terms of Service

The 'Terms of Use' outlined on this page govern your utilization of the Naizone Website and Naizone Application for smart devices. Both the 'Application' and the 'Website' are collectively referred to as the 'Platform'. Prior to subscribing or using the services provided by the Naizone Platform, it is imperative to carefully review these “Terms of Use.” By downloading, installing, or simply accessing the Naizone platform, you enter into a contractual agreement with Naizone, indicating your acceptance of our Terms of Use and other policies, including Privacy Policy, Cookie Policy, Cancellation and Refund Policy, and Take Down Policy. These terms take effect on the date of downloading, installing, or using the Services, establishing a legally binding commitment to adhere to them. In the context of implementing these Terms of Use, terms such as 'our,' 'we,' or 'us,' or 'Company' in this document refer to 'Naizone' (a digital platform of Naizone.in). Additionally, the terms 'you' or “your” signify any individual user who has agreed to become a Naizone Member by providing necessary information for registration on the platform through any web-connected device. Naizone facilitates transactions, both cash and online, between partners and customers. Partners can list their businesses on the Naizone platform, enabling potential customers to discover and make bookings. Simultaneously, the Naizone platform empowers customers to find, select, and book appointments for grooming and personal care services from the listed neighborhood services, including but not limited to salons, spas, and beauty parlors on the platform.

Explanations for Different Expressions Employed in this Document:

Service(s):

It can be characterized as any of the services enumerated by Partners on the Naizone App and Website for clients, encompassing the services intended to be provided and outlined on the Naizone Platform.

Queue Appointment Bookings:

Queue Appointment Bookings can be delineated as the procedure in which the customer/user chooses their preferred services listed on the Naizone App or website and schedules/requests an appointment at their convenience.

Clients or individuals utilizing the services:

'Customers' or 'Users' refer to individuals or a collective group seeking hair, beauty, makeup, grooming, and spa services offered by partners.

Queue Booking Fee, Costs, Charges:

It can be characterized as the overall sum to be billed for the services, and the acknowledgment of the terms of use is essential for availing the services. A Booking ID will be generated, encompassing the booking particulars. Partners have the flexibility to receive the booking amount either in cash (Pay at Counter) or online (Prepay),. The prices of services listed on the Naizone App and Website include all applicable costs and GST.

Sensitive Information:

'Sensitive Information' refers to the data associated with the Naizone Platform, customers, and services requested through the Platform, which is not intended for the general public. This encompasses, but is not limited to, any data indicative or unique to specific users, insights, reports, and other confidential details about the services, as well as information derived from the services and bookings. The personal data of Naizone Platform and its customers shall be considered 'Confidential' at all times.

Naizone Affiliates and Affiliate's Site:

'Naizone Affiliates' denotes the registered salons, authorized to showcase their services and pertinent details on the Naizone App and Website to attract end-customers. The establishments or facilities where services are offered, as specified by partners during the Partner Registration process, shall be referred to as the 'Affiliate's Site.'

Naizone Artisans:

Naizone Artisans are independent professionals or entities that have enrolled with Naizone to provide hair, beauty, and makeup services at their salon location only.

Service Offerings for Naizone Affiliates:

It involves providing the selected and reserved service by the affiliated partner to the customer while the customer is present at the Affiliate's Site.

Delivery of Services for Naizone Artisans:

It involves delivering the selected and reserved service by the registered salon Artisan to the customer at the same date only, and selected salon booked by the customer.

Intellectual Property Rights:

Intellectual Property Rights' encompass any trademarks, copyrights, patents, trade secrets, moral rights, or potential intellectual property rights arising under any laws. This includes all associated and connected rights, such as registration and renewal rights, as well as legal actions for the violation, misappropriation, or infringement of any intellectual property.

Legal Statutes:

Law refers to any legislation, rule, ordinance, regulation, order, license, permit, judgment, decision, or other mandate, currently in effect or to be enacted in the future, by any government authority of competent jurisdiction applicable in India.

Amendments and Revisions

The 'Terms of Use' mentioned above are subject to amendments or modifications at any time. Naizone reserves the right to implement changes or modifications in policies by posting them on the platform and its social media channels. It is your responsibility to stay informed about any changes by regularly checking the Naizone website or social media outlets. You are obligated to review the 'Terms of Use' and other Naizone policies consistently. Your continued utilization of the platform and its services after any amendment or modification indicates your agreement to our updated policies. Under the 'Terms of Use,' Naizone grants you a personalized, non-transferable, non-exclusive, limited privilege to access, search, and make appointments for grooming and personal care through the platform. By accepting the provided 'Terms of Use,' you also acknowledge and agree to adhere to our Terms and Conditions, including Privacy Policy, Cookie Policy, and Cancellation and Refund Policy.

Registration, Booking Fees, Payments, and Taxation

Registration Charges

Naizone charges INR 5 for queue appointment booking (Booking Fees). Nevertheless, the company reserves the right to introduce membership and/or adjust queue booking fees, providing advance notice on its platform and social channels. Naizone has only online payment option. Naizone does not charge any amount for salon services; customers are required to pay service charges directly to the salon for the specific services they have received after visiting.

Payments

Naizone enables users to make payments using only online methods for its services. For salon services Ex. hair cutting or any beauty services , customers can Pay direct to salon by cash or online at the venue.

Digital Transactions

Customers, when requesting queue appointment, have the option to 'Pay Online' only for making advance payments for the queue booking service. In such instances, Naizone will handle the collection of payment on behalf of the respective partner and provide the user with a Payment Receipt (not a Tax Invoice). For online transactions, Naizone gathers necessary financial details (such as debit or credit card number, CVV number, and expiration date) for payment processing. However, for security reasons, this data is not stored. As mentioned in the preceding section, online payment at the time of booking is the sole payment method for 'online queue booking' services.

Taxation Procedures

All services and pricing information provided on the Naizone Website and Naizone Application are subject to the regulations outlined in the Finance Act of the Government of India. Currently, Naizone adheres to the Goods and Services Tax (GST) introduced under The Constitution Act, 2017, following the passage of the Constitution 122nd amendment bill. Consequently, the prices of services listed on the platform include an inclusive 18% GST.

Cancellation, Rescheduling, and Rebooking of Appointments

Salon queue Appointments

To make the appointment bookings of queue services easier and hassle-free for both customers and partners, we allow rescheduling, rebooking, and cancellation of service via Naizone Platform ( Application).

Cancellation

Customers have the option to cancel their appointments for salon. To initiate the cancellation, you can navigate to the booked salon list section (on the Application) and choose the check status option after that choose Cancel option. For a comprehensive understanding of our cancellation and refund policy, please refer to the Cancellation and Refund Policy section.

Rescheduling

Rescheduling can be only done when our partner will allow then only

Rebooking

Naizone offers the convenience of rebooking appointments through application only . After the initial booking is completed, users have the option to rebook the same service(s). In the event of a cancellation by a Naizone Partner or Artist, users can either opt to rebook the same service or acknowledge the cancellation and request a new appointment with another partner.

Access and Utilization of Naizone - Website and Mobile Applications (Android)

You acknowledge, commit, and agree that your access and usage of the Naizone platform are subject to the following guidelines: You shall refrain from uploading, downloading, hosting, displaying, posting, publishing, updating, or sharing any data that: You do not have entitlement to, lack the right to, or belongs to another individual or business: 1. Is defamatory, harassing, paedophilic, harmful, obscene, pornographic, blasphemous, libelous, slanderous, criminally inciting or invasive of someone's privacy, hateful, or ethnically, racially offensive, disparaging, related to or promoting gambling or money laundering, or otherwise unlawful or illegal in any manner; or unlawfully threatening or unlawfully harassing, including but not limited to 'indecent representation of women' within the meaning of the Indecent Representation of Women (Prohibition) Act, 1986. 2. Is misleading or misrepresentative in any manner. 3. Is patently offensive to the online community, including sexually explicit content or material that promotes obscenity, pedophilia, racism, bigotry, hatred, or physical harm of any kind against any person or community. 4. Engages in threats, harassment, or encourages the harassment of any individual. 5. Involves the dissemination of unsolicited mass emails (referred to as 'spamming'). 6. Promotes or encourages illegal activities that are threatening, abusive, obscene, or defamatory. 7. Interferes with any individual's or group's rights, including but not limited to, rights related to copyright infringement, intellectual property, rights of publicity, or rights of privacy (including, without limitation, unauthorized disclosure of their personal data). 8. Endorses the unlawful or unauthorized copying of someone else's copyrighted work, such as sharing pirated tools, programs, or links to them, sharing information to evade manufacture-installed copy-protect systems, etc. 9. This document constitutes a digital record under the Information Technology Act, 2000, and applicable policies, along with the modified rules governing electronic records as amended by the IT Act, 2000. It articulates the terms and conditions (in the form of policies, instructions, and guidelines) that dictate the access and utilization of the Naizone Platform (website: www.naizone.in, as well as mobile apps - Naizone, Naizone Partner) through a designated account or accounts. It stands as a mutual agreement between Salon,(Contract-based) and Naizone Web Services regarding the Terms and Conditions of registration on the Naizone Platform and the listing/provision of services to attract users through the Naizone Platform. By registering/partnering with Naizone, partners commit to complying with Naizone's Terms and Conditions for service provision. Additionally, this document serves as an extended version.

Introduction and Document Scope

The Naizone Platform includes the website (www.naizone.in) and Mobile Apps - Naizone, and Naizone partner Apps for Android devices only, collectively referred to as 'Naizone' or 'Naizone Platform' unless otherwise specified. We are Nezone ('Company,' 'we,' 'us,' 'our'), a proprietary company registered in India at C2/36, Forth Floor, New Ashok Nagar,, New Delhi 110096. The objective behind the development of Naizone and Naizone Partner Apps is to attract relevant hair, beauty, and makeup work for salons, (referred to as 'Partners') . Naizone Partners are obligated to provide the hair, grooming, and beauty services through the Naizone App at their registered facility, . This document further outlines the specific responsibilities, roles, rights, duties, liabilities, and obligations of all parties involved, as defined and detailed in the subsequent sections of this document.

Definitions of Various Terms Employed in this Document:

It can be described as any of the services listed by Partners on the Naizone App for customers, encompassing the services proposed to be provided and listed on the Naizone Platform.

Queue Appointments

Queue appointments can be described as the process where the customer/user selects the salon of their choice listed on the Naizone App and books queue appointment.

Queue Booking Fee, Costs, Charges:

Sensitive Information:

'Sensitive Information' refers to data associated with the Naizone Platform, customers, and services requested through the platform, intended for restricted access. This includes, but is not limited to, any data indicative or exclusive to specific users, insights, reports, and other sensitive particulars about the services, as well as information derived from the services and bookings. The personal data of the Naizone Platform and its customers is considered 'Confidential' at all times.

Naizone Partners and Partner's Location:

'Naizone Partners' pertains to the registered salons, authorized to showcase their services and relevant details on the Naizone App for the purpose of attracting end-customers. The outlets/facilities' location for service delivery, as specified during the Partner Registration process, shall be referred to as the Partner's Location.

Service Offerings for Naizone Partners:

It involves providing the listed and booked service by the registered Partner to the customer while the customer is physically present at the Partner's Location.

Intellectual Property Rights:

'Intellectual Property Rights' refers to any trademark, copyright, patent, trade secret, moral right, or potential intellectual property right arising under any laws. This includes all ancillary and related rights, encompassing rights of registration and renewal, as well as causes of action for the violation, misappropriation, or infringement of any of the Intellectual Property.

The term 'Law' shall encompass any law, rule, ordinance, regulation, order, license, permit, judgment, decision, or other requirement, currently in effect or subsequently enacted, issued by any government authority of competent jurisdiction applicable in India.

The policies that Naizone Partners, desiring to attract customers or work, must comprehensively understand and obligatory consent to, are as follows:

Naizone Operational Approach:

To function as an online marketplace aggregator and facilitator, registering partners , and providing an online platform (mobile app ) accessible to end customers seeking salon services, at the partner's location.

Potential Revisions or Amendments to the Terms and Conditions:

Naizone will issue a notice 5 to 10 days in advance regarding any updates or changes to the Agreement before they take effect. However, Naizone also reserves the right to modify or update the Terms and Conditions or any applicable policy at any time with immediate effect.

Agreement to Terms:

Upon registration with Naizone, the partner affirms having read, comprehended, and agreed to the terms and conditions, rules, policies, and guidelines set forth by Naizone. A. To address or prevent legal, regulatory, fraud, and abuse, or security concerns. B. To modify existing features or introduce new features to the Naizone Platform or the Services (where such changes do not significantly impact the use of Services). or C. To regulate or limit services or activities that Naizone deems offensive, inappropriate, or unsafe. The partner acknowledges acceptance of any changes to this Agreement by continuing to use the Naizone Platform or the listed services after the effective date of such changes. Should the partner find the amendments unacceptable and choose not to proceed with Naizone, they have the option to terminate the contract as defined in the Termination Clause of this document. However, as a discretionary measure, Naizone may consider making specific changes, amendments, or adjustments for a particular partner or artist. The final decision on all matters rests with Naizone.

Payouts and Settlement Terms:

The payments from customers shall be received in one ways: 1. Online through Naizone Partner app there is redeem option from there our Naizone partner can redeem thair collection amount in to your bank, paytm, phonePay at any time and any amount '1 rupees to available balance and that amount will be credited within 3 to 7 working day' Naizone shall transfer the amount payable or receivable to or from each other after deductions and/or adjustments, as applicable, of agreed terms including the GST, if applicable.

Tax and Other Compulsory Responsibilities:

Partners registered under GST are solely responsible for complying with applicable taxes, including but not limited to GST, and other statutory obligations. This includes the timely deposit of taxes into the government account and the filing of statutory dues.

Compensation/Commission for Utilizing the Naizone Platform:

Naizone may impose compensation in the form of a commission at a predetermined percentage of the Pre-GST/GST Inclusive amount (as specified in the contract) for the successfully rendered requested service by partners , along with the applicable GST on the amount. The determination of the commission from partners is solely at the discretion of Naizone. Relevant charges will be communicated to partners through email, SMS, or push notifications on the Naizone Partner app, or any other convenient medium. In the case of payments made by customers through the integrated payment gateway, Naizone may withhold the Payment Gateway fees as charged by the service provider against the received amount from the customers.

Ownership and Intellectual Property Asset Rights:

The ownerships and rights of any Logos, Banners, Trademarks, Symbols, Marks, or any other Intellectual Property being used by Naizone shall be deemed as the property and ownership of the Naizone at all times (unless specified). Partners shall have no right or permission to use, display, claim, the name or logo or any intellectual property asset of the Naizone Platform or Naizone Web Services. Naizone may file a suit legally for recovery and compensation of damages and prosecution, through a civil suit for breach of this clause, in case any infringement of this clause is prima facie established.

Indemnification Clauses:

Partners shall release the Naizone Platform from, and agree to indemnify, defend, and hold us (including any Directors, Officers, Employees, Agents, and Affiliates) harmless against, any third-party claim, damage, loss, cost, settlement, taxes, expense, or other liability (including, without limitation, attorneys' fees) (each, a 'Claim') arising from or related to: 1. Any alleged or actual breach of any representations they have made. 2. Claims related to hygiene and/or quality of services from the customer(s) who have booked, received, or during the provision of services through the Naizone Platform. 3. GST or the collection, payment, or failure to collect or pay GST, or the failure to meet tax registration obligations or duties. or 4. Any non-compliance with applicable clauses/laws.

Genuineness of Registered Profile:

Naizone Partners must accurately and legitimately disclose their identity during the registration process with Naizone, providing all necessary information. Naizone will conduct OTP (One Time Password) verification of the contact information, including the phone number. The partners bear sole responsibility for the authenticity of all information provided during the registration process.

Illegitimate Utilization:

If Naizone Partners, with a malicious intent to cause disturbance or engage in activities that could potentially harm the reputation of the NaizonePlatform or Naizone Web Services, engage in such behavior, the company reserves the right to remove, suspend, or modify contents, or even terminate the contract of the partner/artist as stipulated in Clause 12, without prior intimation or notice. In the event of any breach of the Code of Conduct outlined in this document, the partner/artist shall bear sole responsibility and be liable to indemnify Naizone, as specified in Clause 9 of this document. The company is authorized to pursue legal action for damages and prosecution through a civil suit for breach of this clause if any violation is prima facie established.

Termination Provision:

This contract will be terminated if any of the following terms are breached or invoked. 1. Naizone reserves the right to suspend or terminate the contractual relationship with the Partner for a violation of any clauses in this document that may warrant such suspension/termination. 2. The Partner may opt to terminate the contractual relationship when they decide to remove their services from the Naizone Platform. However, despite the amount mentioned above, this clause will not negate the rights of any party regarding settlement amounts for pre-termination operations and any liabilities or outstanding dues resulting from the violation of any law or breach of the terms and conditions outlined in this document. Such violations may lead to civil or criminal suits under the Indian Judicial System.

Rating

Naizone app has a rating option where customer can rate to particular salon after getting service according to their experience

Force Majeure Event:

The company shall not be held liable for any delay or failure to fulfill any obligations under this Agreement due to reasons, events, or circumstances beyond its control.

The principles that Naizone Partners aspiring to attract customers or offer services through the Naizone Platform must comprehend, agree to, and strictly adhere to are outlined as follows:

1. Service Delivery Commitment: Naizone Partners commit to adhering to the policies and guidelines outlined in this document. They are obligated to provide high-quality services using premium products, tools, and equipment. 2. Appointment/Booking Confirmation: Naizone employs a proprietary online booking acceptance system that automatically accepts booking requests, notifying the respective Naizone Partners through the Naizone Partner App. Communication may be conveyed through other channels as well. Partners are responsible for accepting and calling to customers and delivering the booked services. Failure to do so may result in strict actions, including contract termination. 3. Queue Appointment Booking Cancellation: Naizone Partners can cancel appointments only If customer is not picking the call even after 3 time or customer did not reach to the salon at given time or customer denied on call for the service. Refer to the Cancellation and Refund Policy for further details. 4. General Code of Conduct: Naizone Partners must adhere to the policies and guidelines in spirit, following a code of ethics or fair practices in case of conflicts not explicitly outlined in this document. In instances of conflict between generally acceptable principles and specific clauses in this document, the latter shall prevail. 5. Hygiene and Cleanliness Maintenance: Naizone Partners, in particular, must maintain cleanliness in premises and ensure that tools and equipment used for service delivery are clean and hygienic to uphold service quality. 6. Parity of Charges/Fees: Naizone Partners must not charge same amount which customer has already paid on Naizone app. charge only for those services which is provided by the Naizone partner 7. Payment Terms: Naizone Partners are not required to keep records of amounts collected from customers through cash and electronic payment methods. Customer Solicitation: Soliciting customers for personal and unethical gain, whether at Partners' outlets or during service delivery through the Naizone Platform, is considered a serious breach of agreed terms and general conduct. 8. Date and Time Slots: Naizone Platform users can book queue appointments at online salons for the same day only there is no time slot system . Once a customer has booked their queue the Naizone Partner has agreed to the booking, arrangements must be made to deliver the service(s) at the same day only. 9. Confidential Customer Information: Naizone is entrusted with confidential customer information, such as names, contact details, and addresses, which must be kept confidential. Intentional or unintentional use of customer data is strictly prohibited. 10. Responsibility: Naizone Partners are prohibited from using the Naizone Platform in a manner that may interrupt or hinder platform access. They acknowledge that they are solely responsible for all electronic communications and content shared from their device, using the Naizone Platform exclusively for ethical and lawful purposes.

Naizone Partners are prohibited from utilizing the platform for the following purposes:

1. Impersonating another person, threatening the unity, integrity, security, or sovereignty of India or friendly relations with foreign states. 2. Engaging in unlawful activities and fraudulent purposes, or being involved in criminal activities. 3. Posting content that is indecent, deceptive, defamatory, misleading, blasphemous, libelous, pedophilic, menacing, ethnically objectionable, disparaging, or in breach of copyright, trademark, confidentiality, privacy, or any other proprietary information or right. 4. Sending, accessing, using, or reusing any material that does not belong to them; or is illegal, harassing, obscene, abusive, offensive (including but not limited to pornography or sexually explicit materials), advocates/promotes/encourages racism, hatred, bigotry, or physical harm. 5. Posting content that is otherwise injurious to third parties, relates to or promotes money laundering or gambling, or is harmful to minors in any way. 6. Using the platform to cause annoyance, inconvenience, or needless anxiety. 7. Posting content that is objectionable or otherwise unlawful in any manner whatsoever. 8. Posting content that consists of or comprises software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of spam. 9. To intentionally cause annoyance, inconvenience, or needless anxiety.

Booking Fees, Payments, and Taxation,Registration

Naizone does not require any payment for registration on Naizone plateforme. However, the company reserves the discretion to introduce membership and/or booking fees, with prior notification on its platform and social channels.

Taxation

All the services and prices outlined on the Naizone Website and Naizone Application adhere to the regulations set forth by the Finance Act of the Government of India. Currently, Naizone follows the Goods and Services Tax introduced through The Constitution Act, 2017, following the passage of the Constitution 122nd Amendment Bill. Consequently, the prices of services listed on the Platform include the applicable 18% GST.

GST Compliance Declaration for Naizone Partners Registered under GST Regarding Transactions through the Naizone Platform.

I/We, as the 'GST Registered Service Provider' representing our Salon or a similar service-providing entity on the Naizone Platform, owned and operated by Naizone, hereby declare the following points: 1. My business or personal practice is officially registered with the GST Tax Department of the Government of India through the GSTN, as indicated in the Registration Profile section of the Naizone Platform. 2. I confirm that I am not a Composition Scheme service provider under the GSTN, and my GST Registration follows the regular scheme of the GST Tax Department. 3. I acknowledge that I engage in transactions with Naizone through their mobile and web-based platform. 4. I am aware of my responsibility to collect and pay taxes for the services I provide through the Naizone platform based on the business generated by me through it. 5. I recognize the duty to file GST in a timely manner for the business I generate via the Naizone Platform. 6. I am aware that transactions and settlements with Naizone are subject to TCS (Tax Collected At Source) under current GST provisions. Naizone deducts TCS and credits it to the government, and I will receive credit accordingly. 7. I understand that it's my responsibility to inform Naizone promptly if my GST registration is revoked, surrendered, or canceled due to any reason under the Rules and Provisions of CGST Act, 2017. 8. I acknowledge that the fees charged by Naizone for the business generated by me through their platform are subject to applicable GST. 9.I declare that this acknowledgment is considered filled, agreed upon, and communicated, along with all necessary information, to Naizone upon verification of the provided profile on the Naizone Platform.

Declaration for Current Unregistered GST Partners Regarding Transactions on the Naizone Platform

I/We, as the 'Unregistered GST Service Provider,' representing our Salon or a similar service-providing entity on the Naizone Platform, hereby state the following: I/We recognize that transactions conducted through the Naizone Platform, owned by Naizone, are categorized as e-commerce transactions. 1. I/We declare that my/our business entity or individual practice is not registered with the Goods and Services Tax Department because our total taxable delivery of goods and services is below the specified threshold for GST. 2. I/We are aware of our duty to promptly inform Naizone if our aggregate taxable turnover surpasses the GST threshold.
